PERFORMANCE AGREEMENT

This Letter of Agreement confirms that ……………………. (Herein referred to as “Purchaser”) and KARIPHIL PRODUCTIONS, managers of Philipa Baafi of P. O. Box 1559 Mamprobi Accra, Ghana (Herein referred to as the “Artist”). In consideration of the mutual covenants herein contained and, intended to be legally bound hereby, the Purchaser and the Artist agree as follows:

A. DESCRIPTION OF SERVICE
The Purchaser hereby engages the Artist to render musical performance(s), and the Artist hereby agrees to render such Performance under the terms and conditions specified herein. The artiste is required to be backed by her band as follows:

B. COMPENSATION
1. Agreed Performance Fee: US$...................................
2. Deposit: (50%) ___________upon signing of this agreement via Western Union or made payable in cash to: …………………
3. Final Balance of 50%: , to be paid by Purchaser at least twenty-four (24) hours before Time of Performance; Artist will have the option of cancelling the Performance if Purchaser defaults payment.

C. PURCHASERS RESPONSIBILITY (INTERNATIONAL)
• Air travel for 10 personnel including artiste
• Ground travel for 10 personnel – Airport –hotel – venue
• At least a 3 star hotel accommodation for crew with 15-30 minutes drive away from venue of programme
• Promotional activities via radio, TV, Newspapers, interviews etc. provided in written format as a schedule prior to the artiste arrival

D. FLIGHT ARRANGEMENTS
a. Ground: Purchaser to provide and/ or pay for suitable transportation, starting from pick up points at the arrival at airport of Purchaser’s / Performance town and the duration of stay in the performance town including all publicity engagements, sound check, performance(s) and return to the point of departure.

b. Air: Purchaser shall provide and pay for cost of all airline tickets as specified by artist’s manager. Tickets shall be purchased with departure, arrival and return times approved by manager and sent to manager, or any other location specified by manager, no less than three (3) days prior to date of agreed departure.

E. SECURITY
Purchaser shall provide and guarantee proper security at all times to ensure the safety of artist, artist’s entourage, personal property before, during and after performance. Any loss or damage to property or equipment belonging to artist or artist’s entourage due to lack of proper security or conduct of patrons shall be the sole responsibility of Purchaser. The backstage area shall be secured by no less than two(2) security guards.

F. RECORDING
No part or portion of the performance to be rendered herein may be recorded, filmed, taped, broadcasted, photographed or embodied in any form for the purpose of reproduction without the prior written consent of Artist or Artist’s duly appointed representative

G. BILLING AND ADVERTISING
Management shall have prior notice/approval on any and all radio, television, newspaper and / or magazine interviews requiring the participation of Artist in conjunction with this performance.

H. TECHNICAL RIDER
The Artist shall perform with her own musicians of at least five (5) including instrumentalists that would enable Artist to present a performance of optimum standard.

I. CANCELLATION
This Agreement and the attached technical rider serve as the only binding instrument for both parties. Either party may cancel this agreement without obligation to each other if notice is received twenty-one days in advance of Performance. Artist obligation under this contract is subject to detention by sickness, riot, epidemics, death to Artist or her family members or any other act of God, which could endanger the health and safety of the Artist.
